ADDENDUM A — WEB DEVELOPMENT STACK & FOUNDING PARTNER PRICING
To the Initial Letter of Intent and Service Collaboration Agreement
Between HIRECAR, LLC and FREMONT ELITE AUTOWORKS, INC.

This Addendum A (“Addendum”) is attached to and made part of the Initial Letter of Intent and Service Collaboration Agreement (the “LOI”) executed between HIRECAR, LLC and FREMONT ELITE AUTOWORKS, INC. Together, the LOI and this Addendum constitute the “Agreement.”
While the LOI itself is largely non-binding, this Addendum is binding upon execution and governs the operational deliverables, fees, and service obligations of the engagement.
A1. Purpose of Addendum
This Addendum sets forth the specific Web Development Stack to be designed, deployed, and maintained by HIRECAR for FREMONT ELITE; the implementation timeline; the Setup Fee; the Founding Supplier Partner Maintenance Rate; and the conditions of ongoing service.
The scope herein is grounded in and informed by the diagnostic findings of the HIRECAR Digital Supplier Audit prepared for FREMONT ELITE (the “Audit”), which identified zero current organic web visibility, a Tier-3 competitive position, and a 5x–15x revenue uplift opportunity over a 12-month horizon.
A2. Definitions
- “Setup Fee” — The one-time fee for the design, build, configuration, and initial deployment of the Web Development Stack, as defined in Section A6.
- “Maintenance Fee” — The recurring monthly fee for hosting, support, content updates, monitoring, optimization, and ongoing operational management of the Stack.
- “Founding Supplier Partner Rate” — The reduced, locked-for-life monthly Maintenance Fee available exclusively to Clients who execute this Addendum and remit the Setup Fee within the Founding Supplier Partner Window.
- “Standard Rate” — The monthly Maintenance Fee that applies to engagements executed outside the Founding Supplier Partner Window.
- “Founding Supplier Partner Window” — The execution window through 12:00 PM Pacific Time on May 8, 2026, during which the Founding Supplier Partner Rate may be secured.
- “Buildout Period” — The thirty (30) calendar-day period beginning on the Effective Date during which the Stack is constructed, configured, and launched.
- “Go-Live” — The date the Site is publicly accessible at FREMONT ELITE’s designated domain and the Stack is operational.
- “Stack Components” — The deliverables enumerated in Section A4.
- “Change Order” — A written addition or modification to the Stack scope, executed by both Parties, with associated fees.
- “Expansion Component” — Any new digital surface, integration, module, microsite, application, or system added to FREMONT ELITE’s digital footprint after the initial Buildout, in accordance with Section A10 (Stack Expansion & Living Agreement).
- “Founding Supplier Partner Expansion Rate” — The preferential pricing applied to Expansion Components for Clients holding Founding Supplier Partner Status, defined per-component in the relevant Addendum or Change Order.
All other capitalized terms not defined in this Addendum carry the meanings ascribed to them in the LOI.
A3. Engagement Term
- Initial Term: Twelve (12) months from Go-Live.
- Auto-Renewal: Month-to-month thereafter, until terminated by either Party with sixty (60) days’ written notice.
- Founding Supplier Partner Continuity: The Founding Supplier Partner Rate remains in effect for the entire duration of the relationship, including all renewal periods, provided the engagement remains continuous and in good standing. A lapse in payment exceeding 60 days, or termination followed by re-engagement, may result in the loss of Founding Supplier Partner Status, at HIRECAR’s sole discretion.
A4. Scope of Deliverables — The Web Development Stack
HIRECAR shall design, build, deploy, and operate the following Stack Components on behalf of FREMONT ELITE:

Additional components — including paid media management, video production, photography, repair-tracker portals, customer-facing financing integrations, multi-location replication, mobile applications, and DRP-onboarding microsites — are Expansion Components as defined in Section A2 and are governed by Section A10 (Stack Expansion & Living Agreement). They are not included in the initial Buildout but may be added throughout the relationship at Founding Supplier Partner Expansion Rates.
A5. Maintenance Scope (Monthly)
The recurring Maintenance Fee covers the following ongoing services:
- Hosting, SSL, CDN, security patching, and uptime monitoring — continuous;
- Up to four (4) content updates per month (text edits, photo swaps, service-page tweaks). Larger requests handled via Change Order;
- Google Business Profile posting — minimum two (2) posts per week;
- Review aggregation refresh — on display widget and review request automation;
- SEO maintenance — meta hygiene, schema, citation monitoring, ongoing local-pack optimization;
- Plugin, framework, and security updates — applied within standard maintenance windows;
- Backup management — daily automated backups, 30-day retention;
- Performance audit — quarterly review with recommendations;
- Monthly performance report — delivered by the 5th of each month for the prior month;
- Email support — 48-hour business-day response target.
A6. Pricing & Payment Terms
One-Time Setup Fee
$3,500.00 USD
Due in full upon execution of this Addendum. Covers complete Stack design, build, deployment, brand integration, and Go-Live launch (Buildout Period: thirty calendar days from Effective Date).
FOUNDING PARTNER RATE — Locked for Life
$250.00 USD / month
Available exclusively for Addenda executed and Setup Fees remitted on or before 12:00 PM Pacific Time on May 8, 2026 (the “Founding Supplier Partner Window”).
Rate is non-escalating for the duration of the continuous, in-good-standing relationship. A lapse in payment exceeding sixty (60) days, or termination followed by re-engagement, may result in re-pricing at the then-current Standard Rate.
Standard Maintenance Rate
$350.00 USD / month
Applies to Addenda executed after the Founding Supplier Partner Window or to engagements that lose Founding Supplier Partner Status under the conditions in Section A3 or above.
Payment Terms
- Setup Fee: Charged at signing via HIRECAR’s designated payment processor (Stripe). Non-refundable once Buildout Period commences.
- Maintenance Fee: Auto-charged on the 1st of each month beginning on Go-Live, via the payment method on file. Pro-rated for the partial first month.
- Invoicing: Receipt-style invoices delivered automatically. Detailed monthly statements available on request.
- Failed Payment: A grace period of seven (7) calendar days. Service may be suspended after fifteen (15) days delinquent. Founding Supplier Partner Status may be reviewed after sixty (60) days delinquent.
- Tax: All fees are exclusive of any applicable sales, use, or transaction taxes, which shall be the responsibility of FREMONT ELITE.
A7. Implementation Timeline

Buildout milestones depend on FREMONT ELITE delivering brand assets, content, photos, and approval of design previews within the timeline. Delays in Client deliverables may extend Buildout proportionally.
A8. Service Level Expectations
- Uptime: 99.5%+ monthly target, excluding scheduled maintenance and Force Majeure events.
- Critical outage response: Initial response within four (4) business hours; resolution targeted within eight (8) business hours.
- Standard support response: 48 business hours.
- Maintenance windows: Scheduled outside of business-day prime hours where feasible.
A9. Out-of-Scope & Change Orders
The following are out of scope under this Addendum and shall be quoted separately if requested:
- Paid advertising spend (Google Ads, Meta, TikTok, etc.) — budgets are paid directly by FREMONT ELITE; HIRECAR campaign management is available at a separate management fee.
- Photography, videography, drone capture, or professional brand-content production.
- Custom software development beyond the Stack Components in Section A4.
- DRP (Direct Repair Program) onboarding microsites or insurance-portal integrations.
- Repair-tracker / customer portal applications.
- Multi-location replication (each new location requires a separate Stack engagement).
- Litigation support, expert witness work, or custom legal documentation.
All Change Orders must be agreed to in writing (email confirmation acceptable) prior to execution. Hourly Change Order rate: $150 USD/hour, with project-based quotes available for larger scopes.
A10. Stack Expansion & Living Agreement
The Parties acknowledge that the initial Stack defined in Section A4 represents the launch baseline. As FREMONT ELITE’s business grows, customer behavior evolves, and HIRECAR’s product roadmap advances, the digital footprint will expand. This Section governs how those expansions are absorbed into the Agreement.
A10.1 Categories of Expansion
Expansion Components include, without limitation:
- Site Expansion — additional pages, microsites, landing-page systems, blog/content engines, multilingual variants, repair-tracker portals, customer-facing financing flows, gallery/showroom modules.
- Channel Expansion — new ad platforms, retargeting pixels, programmatic feeds, social commerce integrations, SMS / RCS messaging, email automation sequences.
- Operational Expansion — advanced CRM modules, scheduling integrations, vendor portals, DRP onboarding sites, insurance-claim integrations, payment terminals, parts ordering, inventory dashboards.
- Footprint Expansion — replication of the Stack to additional FREMONT ELITE locations, brands, or service categories.
- Mobile Expansion — native mobile apps, customer portal apps, technician-facing apps, push notification systems.
- Data Expansion — customer-data warehouses, BI dashboards, lifecycle analytics, lead-scoring models.
A10.2 How Expansion Components Are Added
Each Expansion Component shall be incorporated into the Agreement using one of the following mechanisms:
- (a) Maintenance Inclusion — Incremental enhancements to existing Stack Components (e.g., adding a new page, plugging in a new pixel, refreshing a section) may be absorbed into ongoing Maintenance scope at HIRECAR’s discretion at no additional fee.
- (b) Subsequent Addendum (B, C, D, …) — Material expansions creating new Components (e.g., a customer-app, a multi-location replication, a financing portal) shall be memorialized in a new Addendum signed by both Parties, defining scope, build effort, fees, and any Maintenance Fee adjustment.
- (c) Change Order — One-off expansions outside ongoing Maintenance and not warranting a full Addendum may be quoted and approved via Change Order at the rates defined in Section A9.
A10.3 Founding Supplier Partner Expansion Pricing
While FREMONT ELITE maintains active Founding Supplier Partner Status, all Expansion Components offered by HIRECAR shall be made available at the Founding Supplier Partner Expansion Rate, which represents a meaningful discount from the equivalent retail rate offered to non-Founding clients. Specific Founding Supplier Partner Expansion Rates are quoted at the time each Expansion Component is offered.
A10.4 First-Look Right
FREMONT ELITE shall be granted a first-look right on new Expansion Components developed by HIRECAR before they are offered to non-Founding-Partner Clients in the same service category and geography, subject to commercially reasonable timing.
A10.5 Maintenance Fee Adjustment
Where Expansion Components materially increase the operational burden of Maintenance (e.g., an additional location, a customer-app under continuous management, an integration requiring monitoring), the Parties may adjust the recurring Maintenance Fee to reflect the expanded scope. The original Founding Supplier Partner base rate of $250/month shall remain locked for the original Stack scope defined in Section A4; any uplift applies only to the marginal cost of the new Expansion Components and shall be quoted transparently before any Maintenance Fee change takes effect.
A11. Intellectual Property & Site License
- HIRECAR retains ownership of all proprietary code, frameworks, deployment systems, CRM logic, lead-routing infrastructure, design systems, and reusable components built under the Stack.
- FREMONT ELITE retains ownership of its company name, logo, trademarks, photography, customer-supplied content, and any brand assets owned prior to or independent of this engagement.
- License During Engagement: FREMONT ELITE is granted a non-exclusive, non-transferable, royalty-free license to use the Site, Stack, and all related digital assets for its business operations during the active term of this Addendum.
- License Upon Termination: Upon termination of recurring Maintenance, FREMONT ELITE may elect:
- (a) Site Asset Buyout: A one-time fee of $2,500 USD grants FREMONT ELITE a perpetual license to the static front-end assets (HTML/CSS/images/copy) of the Site at the time of termination, exportable to a third-party host. HIRECAR-proprietary CRM, lead-routing, and backend modules are excluded.
- (b) No Buyout: The Site is taken offline within 14 days of termination; FREMONT ELITE’s domain, content, and brand assets are returned. HIRECAR retains the right to remove all proprietary modules and infrastructure.
A12. Termination
- Either Party may terminate this Addendum with sixty (60) days’ written notice after the Initial Term.
- HIRECAR may terminate immediately for material breach including non-payment exceeding sixty (60) days, misuse of the Stack or Platform, or breach of confidentiality.
- Upon termination, FREMONT ELITE shall pay all outstanding fees through the effective termination date.
- The Setup Fee is non-refundable once Buildout has commenced.
A13. Founding Supplier Partner Acknowledgment
By executing this Addendum within the Founding Supplier Partner Window, FREMONT ELITE is recognized as a Founding Supplier Partner within the HIRECAR Enterprise Technology program for collision repair and auto-service operators. This designation includes the locked-for-life rate, priority placement, co-marketing rights, and roadmap access described in Section 16 of the LOI.
Founding Supplier Partner Window closes: 11:59 PM Pacific Time on May 31, 2026.
To lock the rate: Execute this Addendum and remit the $3,500 Setup Fee before the deadline.
Founding Supplier Partner Maintenance Rate: $250/month, locked for the duration of the continuous, in-good-standing relationship.
A14. Entire Addendum & Order of Precedence
This Addendum, together with the LOI, constitutes the entire agreement between the Parties regarding the Web Development Stack and supersedes all prior or contemporaneous oral or written communications regarding the subject matter herein. In the event of any conflict between this Addendum and the LOI, the terms of this Addendum shall control with respect to operational deliverables, fees, and timelines.
